The court ruled that the change of the Supervisory Board of the Odesa Port Plant was legal.
The Economic Court of Odesa Oblast ruled that the appointment of a new board of directors for PJSC "Odesa Shipyard" is legal. The court determined that the general meeting of shareholders took place in compliance with the law, and that obtaining approval from the government is not required when the state is not the sole shareholder of the company.
The Economic Court of Odesa Oblast, on October 28, issued a ruling recognizing the legal change in the composition of the Supervisory Board of PJSC "Odesa Port Plant." A minority shareholder of the company, who owns 0.0002% of the company's share capital, attempted to challenge the decision of the extraordinary general meeting of shareholders on May 21, 2026, at which the previous composition of the Supervisory Board was terminated and new members were elected.
The plaintiff claimed that the State Property Fund of Ukraine had not approved the candidates before submitting them to the Cabinet of Ministers of Ukraine, as required by government decree No. 643. In her view, this violated the procedure and her rights as a shareholder.
Representatives of the Odesa Port Plant and the State Property Fund of Ukraine (which owns 99.57% of the company's shares) in court explained that the provision requiring government approval only applies when the state is the sole shareholder of the company. Since PJSC "OPZ" has other shareholders, the State Property Fund acted within the general procedure as the main shareholder, submitting candidates for consideration by the general meeting.
The court agreed with the arguments of the State Property Fund and OPZ, stating that the general meeting was held in compliance with the Law of Ukraine "On Joint-Stock Companies" and the company's Charter, and that the rights of the minority shareholder were not violated. As a result, the court upheld all of the decisions of the OPZ general meeting and ordered the plaintiff to pay all court costs.
